Services

Know what you are buying, lending on, or holding.

A pro forma is a story. Diligence is what the building is actually doing on a Tuesday. We read surveys, schedules, census, payor mix and the general ledger the way an operator does, normalize the real run-rate, and size the upside with a timeline — before you commit capital to it.

When communities call us

  • You are acquiring, refinancing or recapitalizing a community and the broker package does not add up
  • A lender needs an operational read on a borrower — before closing, at a covenant test, or when the loan has gone sideways
  • You are taking over a distressed building and need to know what the first hundred days require
  • A seller's add-backs and 'stabilized' numbers need testing by someone who has run one
  • The survey history is thin on paper and heavy in the building

What the work includes

  • Operational diligence: survey and complaint history, staffing and turnover, agency dependence, census trend, payor mix, referral sources, clinical capability
  • Financial normalization: true run-rate, tested add-backs, rate and reimbursement review, cost-report sanity checks
  • A site walk with an administrator's eye — not a facility condition report, a read on how the building is actually run
  • Capital needs ranked by return, and what the physical plant will cost to keep compliant
  • A turnaround underwrite: what the upside really is, what it costs, how long it takes, and what could stop it
  • A red-flag memo and a post-close 100-day plan you can hand to the interim leader on day one

For lenders

An operator’s eyes on your collateral, at every stage of the loan.

Appraisals and quality-of-earnings reports tell you what a building earned. We tell you what it is actually doing — staffing, survey exposure, referral flow, cash — and what that means for the credit. Our principals are licensed administrators who have run buildings through exactly the situations that end up on a watch list.

Where a loan does go sideways, the same team can step in as interim leadership, operator of record or receiver, so the diagnosis and the fix come from one place.

  • Pre-close: operational underwrite of the borrower and the building; survey, staffing, payor mix, true run-rate, capital needs
  • Portfolio monitoring: quarterly borrower reviews, covenant and cash-flow testing, early-warning flags on census, agency labor and survey history
  • Collateral inspections: site visits with an administrator’s eye, not a checklist
  • Workout and special assets: sized turnaround plan, operator replacement, interim management, receivership support, orderly transfer or sale
  • Forensic review of payroll, vendors and related-party transfers when the numbers do not reconcile

Underwritten by people who would have to run it.

Our diligence is done by the same operators who take interim seats, which keeps it honest: nobody wants to underwrite a plan they may be asked to deliver. Where the answer is 'do not buy this' or 'not at that price', that is the memo you will get.
